Version 2026-11-01. Effective 1 November 2026.
Every price, minimum, discount, threshold and period comes from the price list in force, shown on the pricing page. Where this policy gives a number, it says "currently", and the number can change with a new price list version (section 2).
1. About this policy
1.1. This policy explains how JTL Advisory and Business Solutions Inc. ("JTL", "we") bills for Sahora. It is part of the Sahora Terms of Service.
1.2. Each client company has its own subscription and is billed separately.
2. The price list
2.1. Prices, minimums, the annual discount, Free Plan rules, trial length and billing terms are set in a price list version. The version in force is shown on the pricing page (/pricing).
2.2. Once a billing statement has been issued under a price list version, that version's prices and terms are not changed. A change is a new version, which starts on the first day of a coming month. Billing statements already issued, and annual terms already started, keep their prices.
2.3. When a new price list version raises a client's fees, we tell its owners by email at least 30 days before the new version takes effect. Clients on annual billing keep their prices until their term renews.
3. Prices include VAT
3.1. All prices include VAT. Each billing statement shows the VAT separately: the VATable amount is the total divided by one plus the VAT rate in force (currently 12%), rounded to the centavo, and the VAT is the difference.
3.2. Billing statements, not invoices. Sahora issues billing statements. The BIR invoice is issued separately by JTL Advisory and Business Solutions Inc.
4. Starting a paid plan
4.1. A paid plan can start right away ("Subscribe now"), billed from the month it starts (the first month is billed in full, without pro-rating), or, on plans that offer one, with a 30-day free trial (the trial length is part of the price list). There is no charge for the trial, including the month in which it ends.
4.2. Before the trial ends, the owner chooses monthly or annual billing in Sahora. If the trial ends without a choice, the workspace becomes read-only until the owner chooses. Nothing is deleted.
5. Monthly billing
5.1. Monthly billing is in arrears: each month's statement covers the month before.
5.2. The fee depends on the month's billable headcount: the employees with a finalized pay in that month, not counting pays that are only final pay or only 13th month pay.
5.3. The headcount sets the plan tier. The fee is the headcount times the tier's rate, but never less than the tier's monthly minimum.
5.4. A month with no billable employees. An active subscription on monthly billing pays its plan's monthly minimum in a month with no billable employees, less the reduction the price list sets for that plan (currently: Plus at half its fixed fee; other paid plans at their full minimum). Free Plan companies, trials, and workspaces that are read-only, cancelled or leaving pay nothing for such a month.
5.5. Monthly billing continues until the owner cancels (section 11).
6. Annual billing
6.1. Annual billing is paid in advance for 12 months, on a committed headcount that the owner chooses. The committed headcount sets the tier. The annual rate and the annual minimum are the monthly ones less the annual discount (currently 15%).
6.2. If the billable headcount in a month is higher than the committed headcount, the excess employees are billed for that month, in arrears, at the annual rate of the tier that the actual headcount falls in, with no second minimum.
6.3. No refunds for downsizing. If the headcount goes down during the term, the prepaid amount is not refunded.
6.4. An annual term renews automatically at the prices in force at renewal, unless the owner chooses "Switch to monthly billing at renewal" on the Billing page before the term ends; the company is then billed monthly from the day after the term. We remind the owners and the billing email by email 30 days before the term ends. An annual term cannot be cancelled mid-term.
7. Enterprise and custom quotes
For companies above the highest standard tier, the fee is a custom quote agreed with the client, never below the Enterprise floor in the price list. A service level, if any, is set in the Enterprise contract.
8. Optional services and Sahora Managed
8.1. Optional services (for example, Assisted Onboarding, historical payroll encoding, custom reports) are requested in Sahora or on the pricing page. We confirm the amount before the work, and it appears as its own line on the next billing statement. Pass-through items (such as biometric devices or transfer fees) are billed at cost. Assisted Onboarding is waived with annual billing on a paid plan, as the price list states.
8.2. Sahora Managed is priced per company on request, either on top of the subscription or bundled, as agreed.
9. Statements, due dates and paying
9.1. Statements are issued in Sahora (the client's Billing page), and the owner is emailed when one is issued. Each has its own number and cannot change once issued; a correction is made by voiding it and issuing a new one.
9.2. A statement is due a set number of days after it is issued (currently 10 days).
9.3. How to pay: bank transfer, InstaPay or check, to the account details on the statement. Sahora does not take card payments online.
9.4. Creditable withholding tax. If the client withholds tax, it pays the statement net of the creditable withholding tax and gives us BIR Form 2307 for the amount withheld.
9.5. Reminders. Sahora sends reminders when a statement is issued, a few days before it is due (currently 3 days), on the due date, and when it becomes overdue at each stage in section 10.
9.6. Questions about a statement. If the client disagrees with a statement, it tells us through support@sahora.ph before the due date. The undisputed part is paid on time; the disputed part is not treated as overdue while we review it.
9.7. We charge no interest on late payments. The steps in section 10 are the only consequences of an overdue statement.
10. If a statement is overdue
10.1. Payroll runs paused. When a statement is overdue for a set number of days (currently 10 days), preparing and submitting new payroll runs are paused until no statement is overdue that long. A payroll already submitted can still be approved, paid out and its bank and government files downloaded, and everything else keeps working. The client remains responsible for paying its employees on time; if a payday is near, tell us through support@sahora.ph.
10.2. Read-only. When a statement is overdue for longer (currently 45 days), the subscription is suspended: the workspace becomes read-only. The client's data stays viewable and exportable.
10.3. As soon as we confirm that the overdue amount has been received and record it, the workspace opens again, and payroll runs resume once no statement is more than 10 days overdue.
11. Cancelling and leaving
11.1. The owner can cancel monthly billing at any time in Sahora. An annual term runs to its end; the owner can choose not to renew it (section 6.4) and then cancel.
11.2. When the subscription is cancelled, the workspace becomes read-only and the data stays available to export for a period (currently 90 days after cancelling). Within 30 days after that period, the company's data is deleted and a certificate of deletion is issued, as the Data Processing Agreement explains, unless the client has arranged a paid archive.
11.3. Fees for months already used remain payable after cancelling.
12. Refunds
12.1. Fees are not refundable, except:
- billing errors, which we correct by reissuing the statement and refunding or crediting any overpayment; and
- a pro-rata refund of prepaid annual fees for the unused full months when (a) JTL ends the service without cause, (b) the client ends its subscription because it objected to a new subprocessor or to a material change in the Terms, or (c) JTL removes a feature that is a material part of the client's paid plan.
12.2. Annual billing is not refunded when the headcount goes down during the year (section 6.3).
13. Free Plan
13.1. The Free Plan is for companies with a small number of billable employees (currently 1 to 5). It has no fee and no trial.
13.2. What it includes. Every compliance output (payroll, payslips, government reports and forms). Some other features are not included or are limited (for example, payslip emails, phone clock-in, company loans, accounting software files, AutoPilot, the statement check, some reports, the API, and the number of pay groups, branches and users). The list is part of the price list in force and is shown on the pricing page. Records already on file are never removed when a limit applies. Free Plan payslips carry a small "Powered by Sahora" mark.
13.3. One Free Plan per person and per business. Sign-ups are checked against existing Free Plan accounts (email, mobile number, company name, registration number and TIN) and a coded value of the network used, as the Privacy Notice explains. Another company of the same owner on the Free Plan is moved to Plus (section 13.7), with Plus features, and billed as Plus; the owner's earliest Free Plan company stays on the Free Plan.
13.4. If the company grows. If a Free Plan company pays more employees in a month than the Free Plan allows, it moves to the lowest paid tier, with a 30-day free trial if the company has not had a trial before.
13.5. If the company stops using Sahora. A Free Plan company without payroll for a set period (currently 6 months) gets a notice, and is archived after a further period (currently 30 days) if nothing changes. Archived companies are read-only. The owner can reactivate the company at any time. A company that stays archived for 12 months is put on the leaving route: its owners are told, and its data is deleted with a certificate after a further 30 days unless the owner reactivates it first.
13.6. We may change the Free Plan's rules with a new price list version (section 2).
13.7. Plus. Plus is a paid plan for the Free Plan's headcount (currently 1 to 5 billable employees) at a fixed monthly fee whatever the headcount (currently ₱1,000 a month, or ₱850 a month billed yearly), with every paid feature and no trial. A Free Plan company can move to Plus from its Billing page at any time and is billed from that month. A month with more billable employees than Plus covers is billed on the lowest paid tier for that headcount.
